These Snappy Terms for AI Features (“AI Terms”) apply to your use of certain AI products, tools and functionality that Snappy makes available to you as part of the Services (“AI Features”).  These AI Terms supplement, are subject to, and are governed by the Snappy Enterprise Terms of Service, Website Term of Use, Order Form or the offline agreement for Services between you and Snappy, as each such agreement may be applicable to your use of the Site and/or the Services (each, an “Agreement”). All capitalized terms not defined herein shall have the meaning attributed to them in the applicable Agreement. Any examples contained in these Terms are for explanatory purposes only and are not intended to be legally binding.

Snappy may update, modify, suspend, discontinue or otherwise make unavailable, any or all of the AI Features at any time by posting a notice on the Site, within our Services or by sending you an email.

  1. Definition of AI

For purposes of the AI Features made available by Snappy, “AI” means software that is developed with one or more techniques and approaches (machine learning, logic and knowledge-based approaches, or statistical approaches) that can, for a given set of human-defined objectives, generate outputs such as content, predictions, recommendations, or decisions that influence the environments with which they interact.

  1. Acceptance of Terms.

By accessing or using the AI Features, you agree to comply with and be bound by these AI Terms as well as the Agreement. If you do not agree to these AI Terms, please do not use the AI Features.  You understand that you (and not Snappy) are solely responsible for complying with any corporate policies of your employer that may apply to your use of the AI Features.

  1. Use of AI Features

You may provide text, images or other content you upload or submit to the AI Features (“Input”), and receive text, images or other content generated and returned by the AI Features based on the Input (“Output”).  You must only provide Inputs that you have the right to use and share. You may not use the AI Features in violation of the Snappy Acceptable Use Policy.  The AI Features will never require you to provide any sensitive information (like your social security number) or health information - so please don’t share any with us.  You acknowledge that the Output may not be accurate or reliable and you are responsible for reviewing all Output before using or sharing it, and you should always verify and validate the accuracy and appropriateness of the Output for your use case and before making any decisions based on the Output.

While we have used commercially reasonable efforts to develop the AI Features responsibly, AI and machine learning technologies have known and unknown risks and limitations. By using the AI Features, you acknowledge and agree that Snappy is not responsible for (i) any inaccuracies, incompleteness, or errors in Output; (ii) limitations of the underlying algorithms or data; or (iii) any Output that you may find harmful, offensive, or otherwise unsuitable for its intended use.

If you encounter any Output that is harmful, offensive, or not appropriate for the Services, please report it to [email protected] so that we can continue to iterate and improve these features.

  1. Third-Party Services Providers

Snappy uses one or more Third-Party Services Providers to host and provide the Snappy AI Features and other business purposes consistent with the Agreement. Use of the AI Features may be subject to the terms, performance, and availability of such Third-Party Services Providers. You can review a list of the relevant Third-Party Service Providers in Snappy’s AI Model Card available in our Trust Center. You understand and agree that these Third-Party Services Providers may need to use the Input or Output to provide the AI Features, comply with applicable laws, or enforce its terms and policies, as applicable. Where Input and Output are submitted to a Third-Party Services Provider, the Input and Output may be retained temporarily by the Third-Party Services Provider as part of the operation of their service. However, Snappy shall make reasonable efforts to contractually restrict any such Third-Party Services Provider from using Input and Output for: (i) training or otherwise improving its large language models or other services and (ii) general use beyond what is required to provide and maintain the AI Features or as otherwise set out in these AI Terms.  You may refer to the Privacy Notice for additional information about how we handle personal data. Snappy disclaims liability arising from such Third-Party Service Providers to the maximum extent permitted by law.

  1. Ownership

You represent and warrant that you have all rights, licenses, and permissions required to share the Inputs with Snappy.  The Outputs are not intended for any use outside of the Services but you retain any rights that you may have to use the Outputs, to the extent that they contain your specific Input.  However, you have no right to use or exploit any Output outside of the Services that contains trademarks, logos or other intellectual property of any third-party.  Additionally, you acknowledge that Output may not be unique and the Snappy AI Features may generate the same or similar Output for any number of users.

Example: What does this mean in practice?

Let’s assume that an AI Feature helped you craft a meaningful, personalized message to your co-worker, Rita, based on your input of some of her favorite things - like tennis, craft beers and knitting.  If you’re so inclined, you’re welcome to re-use that message outside of the Services.  However, if you used an AI Feature to help select a gift or collection of gifts for Rita to choose from, you’re not allowed to copy or use any of the pictures, trade names or descriptions of the products that are displayed in the Services (because those belong to the third-party owner).

  1. Termination

Snappy reserves the right to suspend or terminate your access to the AI Features at any time, without notice, for conduct that Snappy reasonably believes violates these AI Terms, the Acceptable Use Policy or the Agreement or is otherwise harmful, as determined by Snappy in its sole discretion, to other users of the Services, Snappy, or third parties.

  1. Availability

Snappy doesn’t guarantee that all AI Features will be available to all users, or users in any specific geographic location.  Notwithstanding anything to the contrary in the Agreement, downtime of the AI Features will not be included in any Snappy SLA.  Snappy may limit the character limit, number of prompts per session, or other use of the AI Features.
